Consultant Network Terms and Conditions

By submitting an application to join the network of real estate professionals, agents, and consultants of LATA Miami (the “Platform”), the applicant (“Applicant” or “Consultant”) acknowledges that they have read, understood, and agreed to these Terms and Conditions.

The Platform is operated by or in coordination with Cosmore Florida Corp., a Florida corporation operating as a licensed real estate brokerage (“Cosmore”).

1. Application and Acceptance

Submission of an application through LATA Miami does not guarantee acceptance and, by itself, does not create any contractual, employment, agency, partnership, joint venture, franchise, brokerage affiliation, or other representative relationship with LATA Miami or Cosmore.

LATA Miami and/or Cosmore reserve the right, in their sole discretion and subject to applicable law, to accept or reject an application, request additional information or documentation, suspend an application, or terminate participation in the network.

The Applicant represents and warrants that all information, documentation, licenses, certifications, professional experience, and other materials submitted in connection with the application are accurate, complete, current, and not misleading.

2. Professional Licenses and Authorizations

Each Consultant is solely responsible for obtaining and maintaining all licenses, registrations, permits, certifications, and other authorizations required to lawfully perform their professional activities in each applicable jurisdiction.

Acceptance into the LATA Miami network does not grant any real estate license, authorize the Consultant to perform regulated activities, or by itself constitute affiliation with Cosmore as a real estate sales associate, broker associate, broker, or other licensed professional.

Professionals conducting real estate activities in the United States must comply with all applicable federal laws and the licensing and regulatory requirements of the state or states in which such activities are conducted.

Where applicable law requires a real estate agent, sales associate, broker associate, or other professional to be registered with, sponsored by, employed by, or affiliated with a particular broker, no activity requiring such relationship may be conducted on behalf of Cosmore unless and until all applicable legal, regulatory, licensing, and contractual requirements have been satisfied.

Professionals located outside the United States are likewise responsible for compliance with the laws and professional regulations of their respective countries and jurisdictions and may participate in referrals or transactions involving the United States only to the extent permitted by applicable U.S. law and the laws of their own jurisdiction.

3. Independent Contractor Relationship

Unless otherwise expressly agreed in a separate written agreement, each Consultant participates in the network as an independent contractor and independent professional, and not as an employee of LATA Miami or Cosmore.

Participation in the network does not entitle the Consultant to a salary, fixed compensation, guaranteed minimum compensation, paid vacation, paid leave, health insurance, retirement benefits, workers’ compensation benefits, unemployment benefits, or any other employee benefit, except to the extent otherwise required by applicable law.

The Consultant is responsible for independently organizing and managing their professional activities and time. Unless otherwise required by applicable law or a separate written agreement, there are no mandatory working hours, minimum working hours, exclusivity requirements, or day-to-day supervision characteristic of an employer-employee relationship.

Nothing in these Terms, however, limits any supervision, compliance, recordkeeping, brokerage oversight, or other responsibilities that applicable law may impose upon a licensed real estate broker with respect to individuals operating under its license or otherwise affiliated with the brokerage.

Consultants must also comply with any applicable professional standards, compliance procedures, branding requirements, transaction procedures, and lawful policies governing activities performed in connection with LATA Miami or Cosmore.

4. Performance-Based Compensation

Unless otherwise expressly agreed in writing, participation in the LATA Miami network does not entitle the Consultant to a salary or fixed compensation.

Any commission, referral fee, success fee, or other compensation shall be performance-based, shall relate to actual transactions, referrals, services, or results, and shall become payable only if and when:

  1. the compensation has been authorized or agreed upon under the applicable arrangement;
  2. the transaction, referral, service, or other event giving rise to the compensation has occurred;
  3. payment of such compensation is legally permitted in all applicable jurisdictions; and
  4. all applicable licensing, regulatory, professional, tax, and contractual requirements have been satisfied.

The amount, percentage, calculation method, payment terms, and other economic conditions applicable to any compensation may be established in a separate Independent Contractor Agreement, Referral Agreement, Commission Agreement, transaction-specific agreement, or other applicable written arrangement.

Acceptance into or participation in the LATA Miami network does not guarantee any minimum number of clients, leads, referrals, transactions, commissions, revenue, or other compensation.

Nothing in these Terms shall be interpreted as requiring LATA Miami or Cosmore to pay any commission, referral fee, success fee, or other compensation when such payment would be prohibited or restricted by applicable law or professional regulations.

5. International Professionals

International Consultants may participate in the LATA Miami network only to the extent permitted by applicable law.

Where a transaction involves real property located in Florida or another U.S. state, any activities for which a U.S. real estate license is legally required must be performed exclusively by appropriately licensed persons.

Any compensation paid to a foreign professional or foreign real estate broker shall be subject to the laws of the state in which the property is located, applicable federal law, and any licensing, registration, cooperation, or other regulatory requirements.

A Consultant may not represent or hold themselves out as a licensed real estate agent, broker, or other regulated professional in any jurisdiction in which they do not hold the required license or authorization.

6. Professional Conduct and Legal Compliance

The Consultant agrees to conduct all activities professionally, ethically, honestly, and in compliance with all applicable laws, regulations, and professional standards, including, where applicable, those relating to:

  • real estate licensing and brokerage activities;
  • advertising and marketing;
  • consumer protection;
  • fair housing and anti-discrimination requirements;
  • fraud prevention and anti-money laundering requirements;
  • privacy and personal data protection;
  • commercial communications, email, telephone calls, and electronic messaging;
  • intellectual property rights;
  • tax and reporting obligations; and
  • professional licensing and conduct requirements.

The Consultant shall not make false, misleading, deceptive, unauthorized, or unsubstantiated statements concerning LATA Miami, Cosmore, any property, investment opportunity, expected return, financial result, immigration matter, legal matter, or tax matter.

Unless expressly authorized in writing and legally permitted to do so, the Consultant shall not enter into agreements, incur obligations, accept deposits or funds, make binding representations, or otherwise create obligations on behalf of LATA Miami or Cosmore.

7. Use of Trademarks and Materials

Participation in the network may permit the Consultant to use certain trade names, trademarks, logos, photographs, marketing materials, digital content, or other materials provided or authorized by LATA Miami or Cosmore solely for approved professional purposes.

Any such permission is limited, revocable, non-exclusive, non-transferable, and subject to any applicable branding or compliance requirements.

The Consultant acquires no ownership interest in any trademarks, trade names, domain names, databases, websites, content, designs, marketing materials, technology, or other intellectual property belonging to LATA Miami, Cosmore, or their respective licensors.

Upon termination of the Consultant’s participation, the Consultant shall discontinue any use of such materials that could reasonably suggest an ongoing affiliation with LATA Miami or Cosmore.

8. Name, Image, Likeness, and Professional Profile Authorization

The Consultant grants LATA Miami and Cosmore permission to use, reproduce, display, publish, distribute, edit, adapt, and otherwise use the Consultant’s name, professional photograph, likeness, image, voice, video recordings, biography, languages spoken, areas of specialization, professional credentials, and other professional information voluntarily provided by the Consultant for purposes including:

  • creating and maintaining the Consultant’s professional profile;
  • displaying the Consultant on LATA Miami and Cosmore websites and digital platforms;
  • promoting the network and its professionals;
  • publishing content through social media, presentations, newsletters, advertising, and promotional materials; and
  • conducting marketing activities relating to the services and activities of the network.

This authorization is granted without any obligation to pay additional compensation for such use and shall remain effective during the Consultant’s participation in the network.

Following termination of participation, the Consultant may request that LATA Miami and Cosmore discontinue use of the Consultant’s name, image, and likeness in new marketing materials. Such request shall not require the removal, recall, or destruction of materials previously published, printed, distributed, archived, or incorporated into existing content where removal is not reasonably practicable, subject to any rights provided by applicable law.

The Consultant represents and warrants that they possess all necessary rights and permissions relating to any photographs, videos, biographies, or other materials submitted to LATA Miami or Cosmore.

9. Privacy and Personal Data

The Applicant acknowledges and consents to the collection, storage, processing, and use of personal information submitted in connection with the application for purposes including:

  • evaluating and administering the application;
  • verifying identity, credentials, professional qualifications, and licenses;
  • communicating with the Applicant;
  • administering the Applicant’s potential participation in the network;
  • creating and maintaining a professional profile;
  • complying with legal, regulatory, tax, and professional obligations; and
  • preventing fraud and protecting the Platform, its users, clients, and affiliated professionals.

Personal information may be processed by technology, administrative, hosting, compliance, communications, or marketing service providers acting on behalf of LATA Miami or Cosmore, subject to applicable law and appropriate contractual safeguards where required.

Personal information submitted through the application will not be sold to third parties as a consumer database.

Where applicable, the processing of personal information shall also be governed by the Privacy Policy published on the LATA Miami website.

10. Confidentiality and Client Information

Any confidential, proprietary, commercial, personal, financial, or other non-public information obtained by the Consultant through participation in the network shall be used solely for authorized professional purposes.

The Consultant shall take reasonable measures to safeguard personal, confidential, and financial information relating to clients, prospective clients, property owners, buyers, sellers, investors, referral partners, and other third parties. Such information may not be sold, transferred, disclosed, copied, or used for unauthorized purposes except where disclosure is legally required or otherwise authorized.

These confidentiality obligations shall survive termination of the Consultant’s participation in the network.

11. Taxes and Expenses

Except as otherwise required by law or expressly agreed in writing, each Consultant shall be responsible for their own business and professional expenses and for compliance with their own tax obligations.

Each Consultant is responsible for reporting and paying all taxes, contributions, assessments, and other governmental charges arising from compensation lawfully received as an independent professional.

LATA Miami and/or Cosmore may make any tax withholding, information reporting, or other filings required by applicable law.

12. No Guarantee of Business or Income

LATA Miami and Cosmore make no representation or guarantee that participation in the network will result in leads, clients, referrals, listings, transactions, closed transactions, commissions, compensation, or any particular level of business or income.

Real estate and related professional activities involve commercial and market risks, and results may depend upon market conditions, the Consultant’s individual activities and performance, regulatory requirements, client decisions, and other circumstances outside the control of LATA Miami or Cosmore.

13. Consultant Responsibility and Indemnification

The Consultant shall be responsible for their own acts, statements, representations, omissions, and professional activities, subject to any responsibility that applicable law may mandatorily impose upon LATA Miami, Cosmore, or an applicable licensed real estate broker.

To the fullest extent permitted by applicable law, the Consultant agrees to indemnify and hold harmless LATA Miami, Cosmore, and their respective directors, officers, employees, representatives, and affiliates from and against claims, damages, liabilities, penalties, costs, and expenses arising from or relating to:

(a) false, inaccurate, or misleading information provided by the Consultant;
(b) activities performed without a legally required license or authorization;
(c) the Consultant’s violation of these Terms or applicable law; or
(d) the Consultant’s unauthorized use or disclosure of third-party information, intellectual property, confidential information, or personal data.

14. Suspension and Termination

LATA Miami and/or Cosmore may suspend or terminate a Consultant’s participation in the network in the event of a violation of these Terms, loss, expiration, restriction, or suspension of a required professional license, false or misleading information, professional misconduct, regulatory or compliance concerns, misuse of the Platform or its brand, or other reasonable grounds relating to the protection of clients, the network, or applicable legal and professional standards.

A Consultant may request termination of their participation at any time.

Termination shall not affect any rights or obligations arising from prior transactions or separate agreements that are intended or legally required to survive termination.

15. Non-Exclusivity

Unless otherwise agreed in writing, and subject at all times to restrictions arising from applicable professional licensing laws, participation in the LATA Miami network is non-exclusive.

Nothing in these Terms authorizes a professional who is legally required to operate through or under a particular broker to conduct brokerage activities for another person or entity where doing so would violate applicable law or professional regulations.

16. Changes to These Terms

LATA Miami may amend or update these Terms from time to time when reasonably necessary due to changes in law, regulation, operations, technology, or business practices.

Material changes will be communicated or otherwise made available to Consultants as required by applicable law.

Continued participation following the effective date of revised Terms may constitute acceptance of the revised Terms to the extent legally permissible.

17. Governing Law and Venue

Except to the extent otherwise required by mandatory applicable law, these Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms shall be subject to the jurisdiction and venue of the courts of competent jurisdiction located in Miami-Dade County, Florida, unless applicable law requires otherwise.

18. Entire Agreement; Separate Agreements; Severability

These Terms govern the application process and general participation in the LATA Miami network.

If the Consultant enters into a separate Independent Contractor Agreement, Referral Agreement, Commission Agreement, Brokerage Agreement, or other written agreement with LATA Miami, Cosmore, or an applicable affiliated entity, such agreement shall govern the specific matters addressed therein.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent legally permissible, and the remaining provisions shall remain in full force and effect.

Nothing in these Terms shall be construed to authorize any activity, payment, compensation arrangement, professional relationship, or transaction prohibited by applicable law.

19. Electronic Acceptance

By checking the acceptance box and submitting the application, the Applicant:

  1. represents that they are at least 18 years of age and have the legal capacity to enter into these Terms;
  2. confirms that the information submitted in the application is true, accurate, and complete;
  3. acknowledges that they have read and understood these Terms and Conditions;
  4. agrees to be bound by these Terms if accepted into the LATA Miami network;
  5. acknowledges that application or acceptance does not create an employment relationship or guarantee any compensation; and
  6. consents to the use of electronic records to evidence their acceptance of these Terms.

Electronic acceptance of these Terms shall have the legal effect provided under applicable law.
